Terms of service
The terms every Drone360 engagement runs under. A signed quote or purchase order confirms acceptance of these. Project specific terms in a signed services agreement take precedence where they differ.
Quotes and scope
Quotes state the positioning method, the deliverables and the delivery window as one project value, and remain valid for 30 days. Work proceeds on written acceptance or an issued purchase order. Changes to the area, accuracy level, deliverable format or schedule after acceptance are quoted as a scope revision before the additional work begins.
Scheduling, weather and airspace
Flights are scheduled around weather, light and airspace authorization. Where conditions would produce data that fails the quoted specification, the flight is rescheduled at no charge. Where a client cancels or postpones inside 24 hours of a confirmed mobilisation, reasonable mobilisation costs may be charged.
Airspace authorization is obtained where required. Where an authorization is refused or withdrawn by the relevant authority, the flight is rescheduled or the engagement closed with charges limited to work already performed.
Site access and client obligations
The client is responsible for arranging site access, any required orientation or escort, and for identifying hazards, restricted areas and any request to avoid capturing specific areas or persons. Where site conditions differ materially from those described at quoting, the scope may require revision.
Accuracy
Deliverables meet the accuracy level named in the quote. Where a verified capture is purchased, the residual error is measured against independent checkpoints and reported with the deliverables. Accuracy statements apply to the capture as delivered and not to subsequent modification of the data by others.
Payment
Terms depend on whether the work is booked by a business or by an individual. The terms that apply to your project are stated in your quote before you accept it.
- Businesses, contractors, municipalities and organisations are invoiced on delivery, with no deposit. Work proceeds against a purchase order or a signed quote, and invoices are payable on the terms stated. Recurring programs are invoiced per mobilisation or per reporting period as agreed at the outset.
- Work booked personally rather than through a business is settled in full before the flight. This covers search work, private property capture and other one off personal projects, and keeps the arrangement simple for both sides on a same day job.
- First engagements with a new business client proceed on a purchase order or a signed quote before mobilisation, which confirms the work is approved on your side before we commit travel and scheduling to it.
Invoices unpaid beyond their stated terms may carry interest at 2 percent per month, and delivery of outstanding files may be held pending settlement. Where a client cancels or postpones inside 24 hours of a confirmed mobilisation, reasonable mobilisation costs may be invoiced.
Image rights and licensing
Copyright in all captured imagery and derived data remains with Drone360 Imagery Ltd. Clients receive a broad perpetual licence to use the imagery and data for their own business purposes, including internal use, reporting, submissions to regulators and marketing of their own project. Licensing terms are issued as a standalone document where a project requires specific arrangements.
Drone360 does not publish or use client project imagery in its own marketing without written permission from the client.
Confidentiality
Project information, site data and deliverables are treated as confidential and are not disclosed to third parties except where required to deliver the work or by law. Client names are not published without written permission.
File retention
Project files are retained for one year from the capture date and stored in access controlled cloud storage. Re issuing a delivery after a download link has expired is available for a small administrative fee. Clients are responsible for retaining their own copies of deliverables beyond that period.
Subcontracted operators
Work delivered outside Alberta may be performed by certified operators under the Drone360 subcontractor services agreement, which requires minimums of $2 million commercial general liability and $1 million RPAS liability. The client contracts with Drone360 and receives a single invoice regardless of who performs the field work.
Liability
Drone360 Imagery Ltd. carries $7.5 million liability coverage and WCB Alberta coverage. Deliverables are provided for the purposes described in the quote. Where a deliverable will be relied on for design, regulatory submission or legal purposes, that intended use should be stated at quoting so the appropriate accuracy level is scoped. Liability for any claim arising from an engagement is limited to the value of that engagement.
Governing law
These terms are governed by the laws of the Province of Alberta.
